This contract agreement is made effective as of date 9/20/2016, 56TH STREET INC, JINCO INC,CPA ARCHITECTURE, in between MRC DRYWALL LLC. And co.
For: 561-567 , 56TH STREET ,WEST NEW YORK , NJ.
MRC DRYWALL LLC. Has entered into a contract with the Co.56TH STREET INC, JINCO INC, CPA ARCHITECTURE .
Under this contract , has agreed to do all work according with : Prints, Codes, Scope, Town , Regulations and Inspections if anything has to be done still be the responsibility of provided such services. The scope of the work will be attached to this Contract Agreement as an S.O.W-A.
Therefore , in consideration of the mutual promises contained in this Contract Agreement , the parties agree as follows :
Description of services : Beginning on 9/20/2016, will provide the following services and/or materials.
Drywall labor and materials ,to 20 units, 4 corridors and 2 staircase include lobby ceiling and walls single 5/8 regular sheet rock .
First floor ceilings RC1 chanel and 2 layers ½ regular sheet rock .
Division walls between apartments double 5/8 both side .
Division walls between corridors single 5/8 regular sheet rock the rest of the walls single 5/8 regular sheet rock.
Corridors ceiling 1 layer ½ , walls double 5/8 between apartments the rest of the walls single 5/8 regular sheet rock.
Second floor its the same as the first floor.
Third floor it’s the same as the second floor.
Four floor ceilings RC1 chanel and 1 layer 5/8 regular sheet rock.
Division walls between apartments double 5/8 both side.
Corridors ceilings RC1 chanel and 1 layer 5/8 sheet rock , walls double 5/8 between apartments the rest of the walls single 5/8 regular sheet rock.
Staircases only ceilings single 5/8 regular sheet rock.
All bathrooms ceilings RC1 chanel and 2 layers ½ regular sheet rock, walls green sheet rock 5/8 and in the shower 6 feet durorock .
Co. 56TH STREET INC, JINCO INC, CPA Architecture. will complete the services strictly in accordance with any applicable plans and specifications as contained in the contract , and in a workmanlike manner , meeting all local and state building codes , incluiding the Uniform Building Code or other applicable local regulations. All work will be guaranteed according with the State of NJ.
2.Contract Price and Payment Schedule.
1. $ 60,000 WITH THE DELIVERY
2. $ 30,000 WITH HANGING DONE
3. $ 10,000 WHEN SPACKLED AND SANDED, READY FOR PAINTING
Total: $ 100,000 One Hundred Thousand Dollars
All payments will be made less retainage.
The retainage will be released after final inspections and acceptance of the work provided, but no longer than 90 days. We will request lien waivers upon final payment.
3.Completion. All work must be completed according with the schedule, on or before. Any delays or requests according with the contract if not provided, this contract will be terminated in 72 hours.
4. All sub contractors will be responsible for obtaining and paying for all necessary licenses and any other instruments or machinery required performing the services.
5. All sub contractors will be responsible for the cleanup of the debris of his trade and put in the dumpsters. The cleanup has to be done every single day, in case of default there will be a back charge.
6.Indemnity and Insurance.
a. Co.56TH STREET INC, JINCO INC , CPA ARCHITECTURE. agrees to indemnify and hold
harmless to MRC Drywall LLC. Owner and the affiliated from all claims ,losses, expenses, fees, costs, settlements and judgments arising out of the performance of the services.
b. Co. 56TH STREET INC, JINCO INC, CPA ARCHITECTURE. shall maintain insurance
policies, of each and every type , and with provisions and coverage amounts substantially
identical to, corresponding requirements of MRC Drywall LLC. As described by the terms
of this contract.
c. Co. 56TH STREET INC, JINCO INC, CPA ARCHITECTURE. shall provide to MRC Drywall
LLC. With written proof of compliance with this paragraph prior to the commencement of
7. Change Orders. If MRC Drywall LLC. Requests or requires any change either expanding or reducing the work to be performed under the contract,
CO. 56TH STREET INC, JINCO INC, CPA ARCHITECTURE. Shall accept such order.
Co. 56TH STREET INC, JINCO INC, CPA ARCHITECTURE. agrees to provide.
Co. 56TH STREET INC , JINCO INC, CPA ARCHITECTURE. any change order has to be started immediately after being approved by MRC Drywall LLC. Any resulting increase or decrease in the subcontract price provided for in paragraph 2 must be in writing , mutually agreed to, and signed by both parties. Any disagreements shall be submitted to arbitration under the law of the State of NJ.
8. Unforeseen conditions.
a. Reasonable additional , unexpected costs directly related to an existing , concealed
condition that has to be reported to MRC Drywall LLC. during construction , if not MRC
Drywall LLC. will not be responsible for such conditions.
b. This agreement is subject to force majeure, including without limitation, accidents, fire,
explosion, vandalism, storm, weather conditions, labor strikes, orders or acts of military
of civil authority, national emergencies, insurrections, riots, wars, or other delays
beyond the reasonable control of the parties.
Co. 56TH STREET INC, JINCO INC, CPA Architecture. shall not be responsible for reasonable delays caused by such events, but shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance.
9. Default. The occurrence of any of the following shall constitute a material default under this agreement:
a. The failure to make a required payment when due.
b. The insolvency or bankruptcy of either party.
c. The subjection of any of either party’s property to any levy, general assignment for the
benefit of creditors , application or sale for or by any creditor or government agency.
d. The failure of Co. 56TH STREET INC, JINCO INC, CPA Architecture.to deliver
services in the time and manner provided for this agreement.
10. Remedies on Default.
In addition to any and all other rights available according to law , if either party defaults by failing to substantially perform any material provision , term or condition of this agreement (including without limitation the failure to make a monetary payment when due), the other party may elect to terminate this contract agreement if the default is not cured within 3 days after providing written notice to the defaulting party. The notice shall describe with sufficient detail the nature of the default.
MRC Drywall LLC. will take all reasonable steps necessary to coordinate the progress of construction with the other subcontractors so that the project can be completed in a timely manner.
This agreement may be modified or amended only if made writing and signed by both parties.
13. Applicable law.
This agreement shall be governed by the laws of the State of NJ.
Neither party may assign or transfer this agreement without the prior written consent of the other party which consent shall not be unreasonably withheld.
15. Binding Effect.
This agreement shall be binding upon, and inure to the benefit of, the parties and their respective heirs, representatives, successors and assigns.
